1. Parties

The Seller and the Buyer are hereinafter jointly referred to as the “Parties” and individually as a “Party”.
2. Subject of the Agreement
Under this Agreement, the Seller agrees to sell and the Buyer agrees to purchase the petroleum product specified in the commercial recap of Deal {deal_id}, concluded through the PetroHub platform.

4. Delivery and Transfer of Title
Delivery shall be performed in accordance with the agreed Basis and Delivery Terms. Unless otherwise expressly agreed between the Parties, title and risk shall pass in accordance with the applicable delivery basis and the mutually accepted logistics chain.
The Buyer undertakes to nominate, receive, and unload the product in accordance with the confirmed delivery schedule and operational instructions.
5. Price and Payment
The Buyer shall pay the agreed contract value by non-cash bank transfer according to the Payment Terms reflected in Deal {deal_id} and this Agreement.
Any taxes, duties, terminal charges, demurrage, transport-related costs, surveyor costs, customs expenses, VAT, excise, and other charges shall be allocated in accordance with the accepted commercial terms and applicable law.
6. Quality and Quantity
Quantity shall be determined according to loading / discharge measurements, terminal records, transport documents, invoices, and where applicable, independent inspection reports.
Quality shall correspond to the agreed product specification and supporting quality documents, unless otherwise expressly agreed.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Georgia.
Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the competent courts of Georgia.
8. Confidentiality
The Parties shall keep confidential the terms of this Agreement, deal information, commercial data, pricing details, logistics information, and any exchanged documentation, except to the extent disclosure is required by law, regulation, banking, customs, compliance, audit, or court order.
9. Digital Execution Through PetroHub
This Agreement is generated automatically on the website www.petrohub.ge based on the accepted terms of Deal {deal_id}.
The Parties acknowledge and agree that the electronic signatures applied through the PetroHub platform constitute valid confirmation of their intent to be bound by this Agreement.
